[코리안 스타트업을 위한 글로버행 티켓] 34편. 저렴한 투자금, 값비싼 투자금

스타트업의 흔한 목표란, 드림 팀을 이루고 큰 액수의 투자를 받아 돈을 많이 벌어다 주거나 많은 사용자들을 이끌어 낼 수 있는 성공적인 제품을 만드는 것일 겁니다.

aviram_jenik-300x300하지만 이 팀과 제품이란 것의 중요성에 대해 모두가 이해하고 있는 반면에 투자 적인 면에서는 다들 얼버무리고 넘어가곤 하지요. 돈(투자금)이란게 정말 단순히 돈으로만 정의될 수 있을까요? 투자자 A에게서 받은 백만 불의 투자금이 투자자 B가 건넨 같은 액수의 투자금과 똑같다고 정의 할 수 있나요? 물론 때때론 그렇습니다.

일단 돈이 입금되면 당장 눈에 보이는 것은 숫자이고, 이 숫자는 명확하기 때문이지요. 그러나 이 돈에는 항상 조건이 붙어오기 마련이지요. 그래서 질문을 해야 할 것에는, 돈에 따라 붙어오는 조건이 무엇인지, 또 투자를 받음으로써 돈 이외에 어떤 부분에서 이익이 있는 지를 살펴 보는 것 입니다.

어떤 돈은 창업자의 시간이나 집중도 면에서는 정말로 비싼 금액이라 할 수 있습니다. 가장 두드러지는 예제가 있다면 스타트업에 대한 정부의 투자입니다. 투자의 액수도 비교적 높은 편이고 조건도 아주 좋은 편이지만, 이 투자는 `얻기 위해서는 값비싼 자원이 필요한` 투자입니다.

왜냐하면 이 자금을 받기 위해 몇 주 동안 아주 집중도 높게 관련된 문서와 프레젠테이션 등을 준비해야 하기 때문이지요. 이 노력은 몇몇 주요 창업자들에게 해당되므로 근본적으로 스타트업으로서 가장 중요한 시기의 흐름을 막는 요소가 됩니다. 덧붙여, 정부가 지원하는 자금은 스타트업으로써 비즈니스 계획이라던가 오너십 구조를 변경 시킬 수도 있습니다.

그리고 이 것이 가장 (자원 소모 상) 가장 비싼 일이 될 것이죠. 왜냐하면 스타트업의 초기 진행 방향 자체를 탈선 시키는 일이기 때문입니다. 실은 스타트업을 앞으로 나가게 하기 위한 도움 프로그램인데도 말이죠. 마치 자동차가 더 빨리 달리라며 로켓 연료를 주입하는 것과도 같습니다. 결국 이 것이 그 자동차를 배수로에 빠지게 할 것이고요. 더 빠르게 달린다지만, 잘못된 길로 가게 된다는 말입니다.

그러나 단순히 정부만이 문제의 장본인은 아닙니다. 어떤 투자자들은 투자를 단행하기 전후로 스타트업에게 변화를 요구하기도 합니다. 이스라엘 스타트업에서는, 벤처 캐피털로부터 받을 수 있는 가장 무서운 요구가 바로 초기 창업자를 해고 해달라는 말입니다. 

90년대의 많은 미국의 벤처 캐피털들은 기술을 담당하는 CEO가 회사를 크게 성장 시키지 못 할 것이라 생각했고, 곧 기술 담당자가 아닌 다른 고용된 CEO를 포함키로 하였습니다. 물론 창업자에게는 이 것이 가장 악독한 형태의 처벌일 것입니다.

그들 스스로가 스타트업이라는 자동차의 바퀴 역할을 하다가 제거된 것은 물론이고, 전혀 모르는 사람이 나타나 자동차를 실패의 방향으로 끌고 가는 것을 보아야하기 때문이죠. 다행히 이러한 트렌드는 최근 몇 년에 걸쳐 사라지게 되었고, 여기서 배울 레슨은 투자자들이 투자를 단행한 뒤에 무엇을 요구하게 될 것 인지를 알아내는 데 노력하자는 것이었습니다.

몇몇 한국의 투자자들은 스타트업이 외국 자본의 투자를 받는 것을 거부하곤 합니다. 만약 당신의 한국 투자자를 통해 실리콘밸리의 손꼽는 투자자가 천만 불의 투자 제안을 건네왔고, 당신의 한국 투자자가 그 것을 허용하지 않는다고 생각해보십시오! 어떤 비용은 `저렴`할 수도 있습니다.

만약 빌 게이츠가 당신 회사에 5천 불을 투자한다고 하면 일단 그 조건이 무엇인지 묻지도 전에 당신은 그를 투자자로 데리고 있을 수 있다는 것 만으로도 제안을 받아들일 것입니다. 다른 예제들은 이 만큼은 과장되지 않겠지만, 여전히 투자자들이 가진 추가적인 가치를 보여주는 것들일 겁니다.

여기서 우리는 두 가지 요소를 알아볼 수 있습니다. 그 투자자들이 당신을 미래에 어떤 식으로 도울 것인가와 투자자들이 도움을 줌으로서 당신이 오늘 잃게되는 것은 무엇인가 입니다.

첫 번째 부분은 이해하기도 쉽습니다. 잘 알려진 유명한 사람을 투자자로 가질 수 있다는 것은 당신(사업의) 미래에 도움을 줍니다. 다른 투자자들을 모집하는데도 도움이 될 것이고, 큰 회사에 인수를 당할 확률도 높아집니다. 그리고 결과적으로 스타트업에게 명성과 타당성을 부여해줍니다. 그러나 이렇게 즉시 적으로 다가올 가치들에 대해 간과해서는 안됩니다.

이제 겨우 당신의 성공에 진짜 관심을 가지는 누군가를 얻었을 뿐입니다 (당신이 성공하면 그 투자자가 돈을 벌기 때문이지요). 아마도 그 투자자는 당신이 도움을 필요로 하는 어떤 분야의 전문가일지도 모릅니다. 해외로의 사업 확장이라던가, 제품 개발에 대한 가이드를 줄 수도 있고 드림 팀을 이루는 데 도움을 주거나 직접 멘토나 가이드가 되어줄 수도 있습니다.

물론 어떤 투자자가 당신(스타트업)에게 맞는 지는 스타트업의 종류와 시기에 따라 아주 다릅니다. 그러나 결과적으로 당신이 그 투자자와 함께 한다는 것 자체로서 기회를 얻었다는 사실을 기억하세요(그들 또한 그렇습니다). 가장 중요한 우선 순위는, 투자의 가치 비용을 예상해보는 것입니다. 모든 투자금이 같은 가치를 가질 수는 없듯 말이죠.

Cheap money, expensive money The typical startup dream is something as follows: assemble a dream team, get lots of investment money and build a product that will be so successful, it will bring lots of money or attract a large acquirer.

But while everyone understands the importance of the team and the product, the investment part is usually glossed over. Is money just money? Is one Million dollars from investor A the same as the same amount from investor B? Sometimes it is. Once the money lands in the bank, all you see is the number, and numbers are identical.

But money always comes with strings attached. The question is what are the strings, and whether there are other benefits with the investment except for the money. Some money is really expensive in terms of founder time and attention. One notable example is the current situation of government investment in startups.

Although the amounts invested are relatively high, and although the financial terms are usually very good, those investments are ‘expensive’ in other ways: it often takes a few weeks of very intense work to prepare the documentation, presentation and demonstrations. This effort may involve several founders and essentially halts the progress at the most critical time for the startup.

In addition, the government grant may require the startup to change its business plan or ownership structure – that may be most expensive of all, since it derails the startup from its original course, all for an investment that should be helping the startup move forward. This is like putting rocket fuel into the car to help it drive faster, but also turning the driving wheel to drive the car into a ditch; you may be going faster, but you’re going the wrong way… Government is not the only culprit when it comes to investments.

Some investors will require changes before or after the investment. For Israeli startups, the most feared action from VCs would be the removal of the founding CEO. Many American VCs thought during the 1990s that technical founders cannot lead companies to a great success, and shortly after the investment they would replace the founder CEO with a non-technical, hired CEO.

Of course, for a founder this is often a cruel punishment – not only are they removed from the driving wheel of the startup, they are forced to see a stranger driving the startup, sometimes into failure. Thankfully this trend has stopped in recent years, but the lesson is to try and find out what investors will do after the investment was done.

Some Korean investors prohibit the startup from getting foreign investment, using their ‘veto’ power as current investors. Imagine being offered $10M investment from a top-tier Silicon Valley VC only to be told by your seed investor (who may have invested $100k) that he does not allow you to take it! And while some money is expensive, other money is ‘cheap’.

If Bill Gates would have offered you $5,000 you will take it, no matter what he is asking in return, just to have him as your investor. Other examples are not as extreme, but show the added value of some investors. It can come in two forms: How will investors help you in the future, and what are you missing today that an investor can help fill.

The first part is easy to understand: Having a well-known investor will help you in the future: it will help attract other investors, may lead to an easy acquisition (large companies such as Microsoft and Intel like the fact a known investor is a part of the package since it means due diligence was done), and in general gives prestige and validation to the startup.

But don’t overlook the immediate value an investor can bring you: along with the money, you are getting someone who now has genuine interest in your success (if you succeed, the investor makes money). Perhaps the investor is an expert in some area you need help with? Can they help you with overseas expansion, or guide you through product development, assist you with hiring your dream team or perhaps serve as a mentor and a guide?

Knowing which investor is the right for you will vary for different startups, different founders and even different points in time for the same startup and founder. Remember you are taking a chance with the investor (just like they are taking a chance with you, investing in your startup). But the first step is to estimate the cost of the investment. Not all money costs the same…
