융합 보안 솔루션 전문기업 ㈜지슨(대표이사 한동진)과 키움제8호스팩(446840)이 26일 열린 임시주주총회에서 양사 합병 안건이 승인됐다고 밝혔다.
스팩존속방식으로 진행되는 이번 합병에서 존속회사는 키움제8호스팩으로, 키움제8호스팩과 지슨의 양사 간 합병 비율은 1 대 2.8500190이다. 키움제8호스팩은 거래정지 없이 거래가 지속되며, 합병 신주 상장 예정일은 8월 14일이다.
2000년 설립된 지슨은 무선 도청, 무선백도어 해킹, 불법촬영 등 탐지하기 어려운 신종 보안 위협에 대응하는 솔루션을 개발·공급하는 융합 보안 솔루션 전문 기업이다. 독자 기술을 바탕으로 30건 이상의 특허를 보유하고 있으며, 대통령실과 국회, 국방부 등 주요 공공기관과 금융권 등은 물론 민간 부문으로 고객사 저변을 넓히고 있다.
대표 제품으로는 AI 기반 무선 도청 방어 시스템 ‘알파-I(Alpha-I)’, 무선백도어 탐지 시스템 ‘알파-H(Alpha-H)’, 불법촬영 탐지 시스템 ‘알파-C(Alpha-C)’ 등이 있다. 주력 제품군을 중심으로 사업 영역을 확장하고 있으며 특히 탐지 난이도가 높은 UWB(초광대역) 방식 대응, 음성 AI 판별, 상시 원격 모니터링 등의 기술 우위를 확보하고 있다.
지슨은 기술 신뢰도를 기반으로 제품 판매 이외 유지보수 및 렌탈 기반 매출이 확대되며 안정적 수익 구조를 갖추고 있다. 2022년 약 94억원이던 매출액은 3년 만에 두 배 이상 성장해 올해 약 236억원으로 기록될 전망이다. 공공 중심에서 민간·해외 시장으로의 매출 다변화도 진행 중이다.

Based on its own technology, it holds more than 30 patents and is expanding its customer base to major public institutions such as the Office of the President, the National Assembly, and the Ministry of National Defense, as well as the financial sector and the private sector.
Representative products include the AI-based wireless wiretapping defense system 'Alpha-I', the wireless backdoor detection system 'Alpha-H', and the illegal filming detection system 'Alpha-C'. The company is expanding its business areas centered on its main product groups, and in particular, it is securing technological superiority in response to the UWB (ultra-wideband) method with high detection difficulty, voice AI discrimination, and constant remote monitoring.
Based on technological reliability, Jison has a stable profit structure with sales based on maintenance and rentals in addition to product sales. Sales, which were approximately KRW 9.4 billion in 2022, are expected to more than double in three years and reach approximately KRW 23.6 billion this year. Sales diversification from the public sector to the private and overseas markets is also in progress.
