통합 IT 보안 전문기업 SGA솔루션즈(대표 최영철)가 엔드포인트 보안 전문 자회사 SGA EPS(대표 강현모)를 흡수 합병한다고 27일 밝혔다. 이번 합병은 소규모 무증자 합병 방식으로 진행되며, 합병 기일은 2026년 1월 1일이다. SGA솔루션즈는 신주를 발행하지 않아 자본 희석 없이 자회사 통합이 가능하다고 설명했다.
SGA EPS는 AI 기반 안티바이러스 솔루션 ‘VirusChaser 10™ AI’, PC 보안 진단 솔루션 ‘VirusChaser 내PC지키미’, 패치 관리 솔루션 ‘PatchChaser’ 등을 보유한 엔드포인트 보안 전문 기업이다. 이번 합병으로 SGA솔루션즈는 UEM(통합 엔드포인트 관리) 기술과 AI 기반 보안 솔루션을 포함한 통합 보안 포트폴리오를 확보하게 된다.
SGA솔루션즈는 이번 합병을 통해 서버, 엔드포인트, 클라우드, 시스템 접근제어 등 제로 트러스트 아키텍처 기반 보안 환경 구축에 필요한 전방위 솔루션 라인업을 강화할 계획이다. 회사 측은 지난 7월 시스템 접근제어 전문 자회사 SGN에 이어 이번 합병까지 이어진 M&A 전략이 국내 제로 트러스트 시장 선점과 보안 생태계 주도에 기여할 것으로 기대하고 있다.
최영철 SGA솔루션즈 대표는 “합병을 통해 전방위 보안 포트폴리오를 확보하고, 변화하는 보안 패러다임을 선도하는 기업으로 도약하겠다”고 말했다. SGA솔루션즈는 2002년 설립돼 서버보안 ‘RedCastle’, 클라우드 보안 ‘Aegis’, Full-Stack 제로 트러스트 솔루션 ‘SGA ZTA’ 등을 제공하고 있으며, 과학기술정보통신부와 한국인터넷진흥원 주관 제로 트러스트 사업을 3년 연속 수행하는 등 차세대 보안 전문성을 갖추고 있다.

SGA Solutions acquiert sa filiale de sécurité des terminaux, SGA EPS.
SGA Solutions (PDG Choi Young-cheol) , entreprise leader en sécurité informatique intégrée, a annoncé le 27 son projet de fusion avec sa filiale de sécurité des terminaux, SGA EPS (PDG Kang Hyun-mo). Cette fusion, réalisée sans augmentation de capital, devrait être finalisée le 1er janvier 2026. SGA Solutions a précisé que l'intégration de sa filiale sera possible sans émission de nouvelles actions, évitant ainsi toute dilution du capital.
SGA EPS est un spécialiste de la sécurité des terminaux proposant des produits tels que la solution antivirus basée sur l'IA « VirusChaser 10™ AI », la solution de diagnostic de sécurité pour PC « VirusChaser My PC Guardian » et la solution de gestion des correctifs « PatchChaser ».
