가스센서 전문기업 센코는 1일, TS인베스트먼트와 신주 및 구주 매매 계약을 체결하고, 각자대표 체제를 도입해 경영권에 변화를 추진한다고 밝혔다.
이번 계약을 통해 TS인베스트먼트는 하승철 대표이사가 보유한 보통주 500만 주(주당 3,540원)를 인수하며, 동시에 45억 원 규모의 신주(보통주) 유상증자에도 참여한다. 또한 TS인베스트먼트는 회사의 글로벌 기반 확충을 위해 연내 추가적인 신주 투자계획도 검토할 예정이다. 이에 따라 TS인베스트먼트는 센코의 최대 주주로서 경영에 직접 참여하게 되며, 센코는 확보된 자금을 기반으로 글로벌 시장 확대에 나설 예정이다.
센코는 이번 계약을 계기로 각자대표 체제로 전환하며, 각 대표가 전문 분야를 책임지는 구조를 갖춘다. 기존 하승철 대표이사는 연구개발(R&D) 및 글로벌 영업에 집중하고, 내부 경영·재무·조직 운영 등은 TS인베스트먼트 측이 전담하게 된다.

Senko signs a contract to purchase shares including management rights with TS Investment
Gas sensor specialist Senko announced on the 1st that it signed a new and old stock purchase agreement with TS Investment and will introduce a separate representative system to promote changes in management rights.
Through this contract, TS Investment will acquire 5 million common shares (KRW 3,540 per share) held by CEO Ha Seung-cheol, and will also participate in a paid-in capital increase of KRW 4.5 billion in new shares (common shares). TS Investment will also review additional new share investment plans within the year to expand the company’s global base. Accordingly, TS Investment will directly participate in management as the largest shareholder of Senko, and Senko will use the secured funds to expand into the global market.
With this contract, Senko will transition to a system of individual representatives, with each representative taking responsibility for a specialized field. The current CEO, Seung-cheol Ha, will focus on research and development (R&D) and global sales, while TS Investment will be in charge of internal management, finance, and organizational operations.
CEO Ha Seung-cheol said, “We have already confirmed our global potential through SENKO EU, SENKO Canada, and SENKO USA,” and “The co-CEO system with TS Investment is the starting point for aggressive establishment of overseas subsidiaries and full-scale execution of global strategies. 千子、TSインベストメントと経営権を含む持分売買契約締結
ガスセンサー専門企業千子は1日、TSインベストメントと新株および救主売買契約を締結し、各代表体制を導入して経営権に変化を推進すると明らかにした。
今回の契約を通じてTSインベストメントは下承鉄代表理事が保有した普通株500万株(株当たり3,540ウォン)を買収し、同時に45億ウォン規模の新株(普通株)有償増資にも参加する。また、TSインベストメントは同社のグローバル基盤拡充のために年内に追加的な新株投資計画も検討する予定だ。これによりTSインベストメントは千子の最大株主として経営に直接参加することになり、千子は確保された資金を基にグローバル市場拡大に乗り出す予定だ。
千子は今回の契約をきっかけに各自代表体制に転換し、各代表が専門分野を担当する仕組みを備える。既存のハ・スンチョル代表理事は研究開発(R&D)およびグローバル営業に集中し、内部経営・財務・組織運営などはTSインベストメント側が専担することになる。
