Global medical aesthetics company Classis Co., Ltd. announced on the 24th that it has signed a contract to acquire a 77.5% stake in JL Health, a Brazilian distributor of energy-based aesthetic medical devices (EBD). The acquisition will be conducted through Classis' local Brazilian subsidiary and will be entirely funded with the company's cash on hand.
JL Health owns Medsystems, Brazil's largest distributor of aesthetic medical devices, and entities that provide related customer education and financial services. It currently exclusively distributes Classis products. This acquisition gives Classis a local sales network and customer contact points, as well as control over its distribution partners' sales and margins.
The Brazilian aesthetic medical device market is worth approximately $800 million, and the aesthetic EBD segment is projected to grow at an average annual rate of over 15%. MedSystems serves over 15,000 hospitals and aesthetic spas in Brazil and maintains a network of numerous dermatologists and plastic surgeons. Last year, the company recorded sales of approximately KRW 135 billion and adjusted EBITDA of KRW 16.9 billion.
Classis is leading the South American HIFU (High Intensity Focused Ultrasound) market with its Ultraformer (known in Korea as Shrink) series and next-generation Volnewmer. Going forward, it plans to launch new QuadSay microneedle RF products and the premium Lipat laser in the local market. This acquisition will enable the company to actively pursue various sales strategies, including cross-selling products and combined treatment marketing, which were previously difficult to achieve through the existing distributor system.
Baek Seung-han, CEO of Classis, said, “Through this investment, we will go beyond simple product exports and leap forward as a global aesthetic medical device company that directly designs brand value and customer experiences locally.”
“Our partnership with Classis is a prime example of how innovative initiatives built on trust and expertise in the local market have yielded positive results,” said José Luiz Lopes Pinto, founder of MedSystems.
