
DLG Law Corporation announced that it will hold a seminar on the topic of “Commercial Act Amendment and Practical Response Plan for Shareholders’ Meetings” in collaboration with Alliance Advisors, a global governance and IR consulting firm, at 2:00 PM on February 9, 2026, at the Dream Plus Gangnam B1 event hall.
This seminar was organized to share practical response strategies that corporate practitioners can refer to in preparation for the key issues of the revised Commercial Act and the strengthening of shareholder activism ahead of the 2026 regular shareholders' meeting season.
In the first session, Partner Kang Song-wook of DLG Law Firm will present practical guidelines for key agenda items, from the convening of the general shareholders' meeting to on-site operations, financial statements, and executive compensation approval. This will address ensuring legality and managing legal risks during the general shareholders' meeting process.
In the second session, Wonhee Cho, managing attorney at DLG Law Firm, will present considerations for conducting general shareholders' meetings in accordance with the revised Commercial Act. He will examine the impact of key amendments, including the expanded duty of shareholder loyalty for directors, the separate election of audit committee members, and the implementation of the 3% rule, on general shareholders' meetings. He will also explain corporate response strategies and the need to revise internal regulations, including the Articles of Incorporation.
In the third session, Attorney Sim Geon-wook of DLG Law Firm will present strategies for responding to shareholder activism. He will analyze case studies of shareholder proposals from activist funds and private equity funds, as well as countermeasures against hostile takeover attempts, and explore offensive and defensive strategies employed in management disputes.
In the final session, Park Sung-hwan, Managing Director of Alliance Advisors, will present recent trends in the changing governance landscape and discuss considerations for responding to global institutional investors. He plans to share implications for foreign institutional investors and global proxy advisory firms regarding policy changes.
DL Law Firm will provide seminar attendees with key document formats necessary for conducting a general shareholders' meeting, including a notice of convocation and minutes. This seminar, aimed at corporate legal and investor relations (IR) staff, executives, and others, will run until 4:30 PM on February 9th.
