IL, Itronics to be incorporated as a wholly owned subsidiary

IL announced on the 30th that it has acquired all of the shares held by 'SGI Dolphin Small and Medium Venture Business M&A Investment Association', the second largest shareholder of its subsidiary Itronics, and secured 100% of the shares of the subsidiary, including treasury stocks.

Upon completion of this equity acquisition, IL will own 100% of Itronics’ voting shares (Itronics’ own shares are 3%), effectively meaning that IL will own all of the shares. The acquisition price is 3.8 billion won, and the transaction is scheduled to close on September 30, 2025. Upon completion of the transaction, Itronics will be incorporated as a wholly owned subsidiary.

Itronics is a company that possesses core technologies for intelligent transportation systems (ITS) related to Hi-pass lane control systems and autonomous driving. It has installed single-lane and multi-lane Hi-pass lane control systems in 162 out of 437 highway tollgates nationwide, and holds approximately 37% of the market share. In addition, it is advancing the company’s core autonomous driving technologies, such as by completing the ‘Next-Generation Intelligent Transportation System (C-ITS) Communication Technology Verification Test Environment Construction Project’ hosted by the Korea Expressway Corporation.

An IL official said, “This full subsidiary is not a simple acquisition of shares, but a strategic measure to combine IL’s future vehicle technology with Itronics’ autonomous driving technology capabilities such as C-ITS and V2X.” The official added, “Through an integrated operating system centered on the parent company, we have laid the foundation to maximize the synergy of technology, human resources, and financial resources as well as the consistency and speed of strategy execution.”

He added, “We plan to strengthen the competitiveness of the mobility value chain and accelerate technological convergence between group companies, as well as solidify the company’s fundamentals through work to improve its financial structure.”
